OPT OUT: The parent and/or legal guardian ("Parent") of each entrant who is under the age of thirteen (13) will be sent an initial e-mail notification advising Parent that his/her child has registered at www.traxcheesysummer.com for entry into the Sweepstakes, and providing the option to withdraw the entry. If the Parent does not validate the child's registration and online entry within the period indicated on the notification, the entry will be approved. SWEEPSTAKES PERIOD: The Sweepstakes begins at 12:00 a.m. (Eastern Time [“ET”]) on June 2, 2008 and ends at 11:59 p.m. (ET) on July 1, 2008. ELIGIBILITY: To enter the Sweepstakes you must be (i) a legal resident of the 48 Contiguous United States or DC, (ii) between the ages of 9 and 14 at the time of entry, and (iii) be physically located in the U.S. at the time of entry. Employees, officers and directors of Sweepstakes Entities and their immediate families (parents, children, siblings and spouse, regardless of where they live), and members of their households (whether related or not), and those winners who have won a grand prize in any Nickelodeon sweepstakes/promotion in the twelve (12) months prior to the start of the Sweepstakes Period, are ineligible to participate in this Sweepstakes.

GENERAL REQUIREMENTS FOR ENTRIES: Each entrant agrees warrants and represents that the use of the materials submitted in this Sweepstakes will not violate the rights of any third parties. Entries must be in keeping with Sponsor’s positive image, as determined by Sponsor in their sole discretion. Any materials containing obscenity, crude language, or descriptions of a violent or sexual nature (as defined solely by the Sweepstakes Entities) will not be accepted and the associated Entry will be disqualified.

DRAWING AND NOTIFICATION: Sweepstakes Administrator will select a potential prize winner (“Potential Prize Winner”) by conducting a random drawing on or about July 2, 2008. Odds of winning a prize depends on the total number of eligible entries received during the Sweepstakes Period. The Potential Prize Winner will be notified by email on or about July 3, 2008. If the Potential Prize Winner does not respond to Sweepstakes Administrator’s notification attempt within five days, then such person will be disqualified and another Potential Prize Winner will be selected from the remaining eligible entries received. PRIZING: Grand Prize Winners (2): Each Grand Prize Winner will receive a four day/three night trip to Los Angeles, CA for Grand Prize Winner and his/her friend to compete in an obstacle course on July 24, 2008 through July 27, 2008 (the “Grand Prize Package”). Each minor must be accompanied by a parent or legal guardian. Winner must be available to participate in the Cheetos Trax Obstacle Course on Saturday, July 26, 2008. If unable to attend on that date, another winner from the remaining pool of qualified Entries will be selected. Sponsor reserves the right to change dates and/or venue at their sole discretion. Grand Prize Package includes: roundtrip coach airfare for up to 4 to Los Angeles from the major airport nearest Grand Prize Winner’s residence to Los Angeles, CA (Approximate Retail Value (ARV) $2,800.00), three nights standard hotel accomodations of Sweepstakes Entities’ choice (one room, quad occupancy) (ARV: $750.00), transportation to/from Los Angeles International Airport to hotel (ARV: $240.00), $1,000.00 spending money for meals and taxes, and the chance to participate in the Cheetos Trax Obstacle Course and be included in an on-air wrap spot and NICK Magazine. Total ARV of each Grand Prize Package: $4,790.00. Total ARV of Sweepstakes: $9,580.00. Los Angeles Residents: (a) If a Grand Prize Winner resides in Los Angeles, CA (or within a sixty (60) mile radius of Los Angeles, CA (“Local Resident”)), in lieu of the round trip coach airfare portion of the Grand Prize Package, Grand Prize Winner will receive limousine transportation of Sweepstakes Entities’ choice to and from Grand Prize Winner’s Local Residence to the hotel. No compensation will be awarded in lieu of the difference in the total ARV. (b) If Winners resides in the State of California, Winner and Winner’s parent or legal guardian agree to waive any and all right that they or any party claiming by, through or for them have, have had, may now have or hereafter will have under the provision of Section 1542 of the civil Code of the State of California and any similar provision in any other jurisdiction. Section 1542 provides as follows: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing a release, which if known by him or her must have materially affected his or her settlement with the debtor.” GENERAL PRIZE CONDITIONS/RESTRICTIONS: No transfer, substitution, or cash equivalent for the Prizes is allowed except at Sweepstakes Entities’ sole discretion. Sweepstakes Entities reserve the right in their sole and absolute discretion, to substitute a prize or prize component with a prize of equal or greater value if a prize component cannot be awarded as described for any reason. All Prizes are non-transferable and have no cash equivalent. Substitution of a Prize by Winner is not permitted. All airline tickets issued in connection with the Grand Prize are not eligible for frequent flyer miles. Airline tickets cannot be used in conjunction with any other promotion or offer. In the event that a Potential Winner chooses not to accept his/her prize, or is unable to be notified, an alternate Potential Winner will be randomly selected from all of the remaining entries. The Parent or legal guardian of a Potential Winner is solely responsible for all insurance, registration and all applicable federal, state, and local taxes.

All travel arrangements indicated in the Grand Prize Package must be made by Sweepstakes Entities in advance of travel. Each Grand Prize Winner and their guests must present valid travel documents and travel on the same itinerary. Exact travel times and arrangements are subject to availability and blackout periods. The Sweepstakes Entities are not responsible for any cancellations, delays, diversions or substitutions, or any act or omission whatsoever with respect to the Grand Prize Package. Except as indicated in the Grand Prize Package, all taxes, gratuities, incidentals (including mini-bar), phone charges, and other expenses not specifically identified in these Official Rules are solely the responsibility of the Grand Prize Winner and his/her Guests. Grand Prize Winner and Guests must comply with all hotel check-in requirements, including but not limited to the presentation of a major credit card. No transfer, substitution, upgrade, credit, refund or cash equivalent for prizes is allowed except at Sweepstakes Entities’ sole discretion. Sweepstakes Entities reserve the right, in its sole and absolute discretion, to substitute a prize or prize component of equal or greater value if a prize or prize component cannot be awarded as described for any reason. If in Sweepstakes Entities’ sole discretion, a Grand Prize Winner is incapable of participating in the Obstacle Course (because of age or physical disability), a member of the Grand Prize Winner's party who is between the ages of 9 and 15 years old may be substituted for the Grand Prize Winner but any of the prizes described above must be awarded to the Grand Prize Winner. The substitute will not be eligible for any of the prizes described above. RELEASES/TAXES: Before a Potential Prize Winner will be deemed an Official Prize Winner, he/she and his/her parent or legal guardian will be required to execute and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (except where prohibited) (the “Affidavit/Release”) and any other legal documents that Sweepstakes Entities may require (including a W9 Form). Except where prohibited by law, the Grand Prize Winner’s entry and acceptance of a Prize constitutes his/her and his/her parent’s permission for the Sweepstakes Entities and those acting under their authority to use the Winner’s name, photograph, likeness, statements, biographical information, voice, and address (city and state only) on a worldwide basis, and in all forms of media, in perpetuity and for advertising or promotional purposes without review or further compensation to the winner. The Affidavit/Release and all other documents must be returned by the deadline stated in such documents. If the documents are not returned within that time, or a Potential Winner is found to be ineligible, or does not comply with the Official Rules, then the Potential Prize Winner will be disqualified. A prize or prize notification being returned as undeliverable will result in disqualification of such Potential Winner. SWEEPSTAKES CONDITIONS: This Sweepstakes is subject to all applicable federal, state and local laws. By participating, entrants agree to abide by and be bound by these Official Rules and the decisions of the Sweepstakes Entities on all matters relating to this promotion and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. By participating, entrants agree to release, discharge, indemnify and hold harmless the Sweepstakes Entities, and each of their respective officers, directors, employees, representatives and agents from and against any claims, damages or liability due to any injuries, theft, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from a) acceptance, receipt, possession, misuse or use of any prize element contained in the Prizes or participation in any Sweepstakes-related activity or participation in this Sweepstakes, b) any malfunction or any error in the collection or retention of entry information, or c) any typographical or other error in the printing, offering or announcement of any prize. Winner assumes all liability for any injury or damage caused, or claimed to be caused, by participating in this Sweepstakes or use or redemption of any prize. In the event a Potential Prize Winner or Winner is disqualified for any reason under the provisions of these Official Rules, such winner and all rights to any prize will be forfeited in its entirety. A random drawing will be conducted in order to select an alternate Potential Prize Winner, if time permits.

LIMITATIONS OF LIABILITY: Sweepstakes Entities are not responsible for (i) lost, late, stolen, misdirected, damaged, incomplete or garbled entries, (ii) any problems or technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer online systems, servers or providers, computer equipment, software, failure of entrants on account of technical problems or traffic congestion on the internet or at any website or any combination thereof, including injury or damage to participants or to any other person’s computer(s) related to or resulting from participating or downloading materials contained in this Sweepstakes, (iii) communication disruption or other forces beyond their reasonable control, including inability to access any website, submit an entry or other disruption related to internet traffic, virus, bug or any unauthorized intervention whether or not caused by any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity(ies), equipment failure, including overloading of the Website due to excessive use, threatened terrorist act(s), terrorist act(s), air raid(s), blackout(s), act(s) of public enemy, earthquake(s), war(s) (declared or undeclared), fire(s), flood(s), epidemic(s), explosion(s), unusually severe weather, hurricane(s), embargo(s), labor dispute(s) or strike(s) (whether legal or illegal), labor or material shortage(s), transportation interruption(s) of any kind, work slow-down(s), civil disturbance(s), insurrection(s), riot(s), or any other similar or dissimilar cause(s) beyond Sweepstakes Entities’ sole and reasonable control, (iv) injury or damage to persons or property caused, directly or indirectly, in whole or in part from any entrant's participation in the Sweepstakes or receipt or use of any portion of the Prize or by computer virus or otherwise resulting to any computers from entrant’s access to the Sweepstakes website or entry into the Sweepstakes, or (v) printing or other errors appearing in the rules or other Sweepstakes materials. Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any performer(s)/event(s), air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the Winner's and his/her travel companion transportation and such contracts shall be solely between the Winner, his/her travel companion and such transportation companies. Sweepstakes Entities shall not be parties to such contracts and shall assume no responsibility in such connection. Sweepstakes Entities shall not be liable for any loss or damage to baggage or the loss, theft or damage of cash, cameras, jewelry, securities, heirlooms, negotiable papers or other valuables. The Sweepstakes Entities may prohibit an entrant from participating in the Sweepstakes or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs, systems or agents) or by acting in an unsportsmanlike or disruptive manner, or by attempting or intending to annoy, abuse, threaten or harass any other entrants or the Sweepstakes Entities representatives and reserve the right to disqualify any entrant that the Sweepstakes Entities determine, in their sole discretion, has threatened the operation of this Sweepstakes or violated these Official Rules. If the Winner becomes disabled or cannot otherwise fully enjoy the Prize package due to illness, Sweepstakes Entities shall have the option of: (1) being relieved of liability for fulfillment of the Prize award; or (2) at Sweepstakes Entities’ sole discretion extending the period during which such prize may be awarded for a period equal to the duration of the Winner's disability or illness, in which case certain prize components may not be available. The Winner must prove such disability by a doctor's certificate. Sweepstakes Entities’ failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Entrants further agree that in any cause of action, the Sweepstakes Entities' liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Sweepstakes Entities be liable for attorneys' fees and/or experts' fees and costs. Entrants waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

Entries received from persons residing in geographic areas in which entry is not permissible will be disqualified. If for any reason this Sweepstakes is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of the Sweepstakes Entities which corrupt or affect the administration, security, fairness, integrity, fulfillment or proper conduct of the promotion, then the Sweepstakes Entities reserve the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes prior to its stated expiration date. If such action occurs any eligible entries received prior to the termination or cancellation will be included in the random drawing to select the Potential Prize Winner. AFFIDAVIT OF ELIGIBILITY & PUBLICITY/LIABILITY RELEASE

The undersigned ("Winner" and "Guests") hereby warrant and represent that the information provided on this Affidavit of Eligibility & Publicity/Liability Release ("Affidavit & Release") is true and correct and that each of the undersigned submit this Affidavit & Release, jointly and severally, with the knowledge that it will be relied upon to determine their respective eligibility for the “Trax Cheesiest Messiest Summer Ever” Sweepstakes (the "Promotion"), and participation in and use of the Promotion prize (the "Prize") sponsored by MTV Networks (the "Sponsor"). Each of the undersigned acknowledges and affirms that: (i) Winner has read the Official Rules for the Promotion has complied with all terms of the Official Rules and meets the eligibility requirements set forth therein; (ii) neither Winner nor Guests, nor any member of their respective immediate families, nor any person living in the same household of either, is from the time Winner entered the Promotion through the date of this Affidavit & Release an employee of Sponsor, National Sweepstakes Company (the “Sweepstakes Administrator"), or their respective parents, divisions, subsidiaries, affiliates, licensees, agencies, including advertising and promotion agencies, printing agents or any other Sponsor (collectively the "Sponsor Parties"), nor are Winner or Guests connected with them in any way; (iii) each understands that neither Winner nor Guests may participate in the Prize without first having agreed to and signed this Affidavit & Release; (iv) the Sponsor Parties have not arranged for and do not carry any insurance of any kind for the undersigned's benefit or that of any of their successors, executors, beneficiaries, heirs, trustees and administrators relative to Winner's and Guest's participation in and use of the Prize; and that each of Winner and Guest are solely responsible for obtaining and paying for any life, accident, property or other insurance relative to participation in and use of the Prize; and (v) the Sponsor Parties shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by the performers/events, air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations to Winner and Guests, including any results thereof such as changes in services or accommodations necessitated by same. None of the foregoing, nor any of the Sponsor Parties shall be liable for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever resulting from the occurrence of an act of "force majuere" (as that term is generally recognized in the travel industry). Furthermore, Winner and Guests acknowledge and affirm that none of the foregoing parties shall be liable for any loss or damage to baggage. Guest acknowledges that: (i) the Sponsor Parties have no obligation to Guests; (ii) Guests is participating in the Prize solely at the discretion of Winner; and (iii) if at any time Winner elects to withdraw Guest's name as a participant, Guests shall have no recourse, claim or action against the Sponsor Parties. In the event of any such withdrawal of Guest's name by Winner, Winner must make such withdrawal in writing to Sponsor Parties prior to Sponsor Parties having purchased any element of the Prize using Guest's name. If such election shall occur prior to such period, Winner may designate a replacement guest and shall assume responsibility to obtain such replacement guest's signature on an Affidavit & Release prior to the time Sponsor Parties must purchase any element of the Prize using the replacement Guest's name.

Winner and Guests hereby give their respective consent to Sponsor Parties, and its respective parents, divisions, subsidiaries and affiliated entities to use the name, city and state of residence and/or image, likeness and voice (collectively, "personality") of Winner and Guests for the purpose of advertising and publicizing the Sweepstakes, Sponsor Parties, their licensees and their activities, now and in the future, without compensation other than the Prize, and Winner and Guests will reasonably cooperate with Sponsor Parties regarding such use. Winner and Guests expressly understand that any tax liability in connection with their participation in any prize will be their sole respective responsibility and understand that such taxes may be based upon the full value provided to me and my travel companions, which have an approximate retail value of $____________.00. The Prize may include action and adventure oriented sports and similar activities (collectively, "Action Activities") that involve risk or injury, and therefore, by participating in such Action Activities, Winner and Guests acknowledge and assume such risk. Participants are advised to consult their physicians regarding such Action Activities, and to pack sufficient prescription medicine (in original labeled containers) in their carry-on luggage. Winner and Guests, jointly and severally, HEREBY RELEASE the Sponsor Parties from and against any and all claims which they or their successors, executors, beneficiaries, heirs, trustees, guests and administrators (collectively, the "Releasing Parties") may now have or at any time after the date hereof may have for any and all harm, invasion of privacy, defamation, misrepresentation, negligence, illness, personal injury, property damage or destruction, accident, or any other cause of action (collectively, "Claims") and all costs or expenses related thereto arising out of the Promotion, participation in and use of the Prize, Action Activities and any related merchandise, and the advertising and marketing thereof, including but not limited to the exploitation of Winner and Guest's personality as provided for herein. Winner and Guests understand and agree that the nature, extent and result of the foregoing general release shall be to bar all Claims of whatsoever character, nature and kind, known or unknown, suspected or unsuspected; and in furtherance of this intention, hereby declare that each of Winner and Guests nevertheless desire to release in full all possible Claims and hereby waive, to the extent they apply, the provisions of section 1542 of the California Civil Code, which reads as follows: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR." In addition, Winner and Guests hereby expressly waive application of any and all rights under any other statute or rule or principle of common law or equity of any jurisdiction, government, or political subdivision thereof, similar to section 1542. Winner and Guests further understand that the significance of the foregoing waivers of California Civil Code 1542 and any similar provision are that, even if either should eventually discover damage or loss in connection with the Claims, neither Winner nor Guests will be permitted to make any claim whatsoever against the parties released in any jurisdiction for such damage or loss.

Winner and Guests agree, on behalf of their selves and all Releasing Parties to INDEMNIFY, HOLD HARMLESS and DEFEND, each of the Sponsor Parties from and against any and all claims, demands, expenses, losses, damages, actions or causes of action related in any way to: (i) a breach of any provision of this Affidavit & Release; (ii) any Claims by any of the Releasing Parties; and (iii) any Claims by third parties, including but not limited to allegations that an injury or loss has occurred resulting from participation in the Promotion and the Prize. Winner and Guests further acknowledge that the Sponsor Parties have not made, nor are in any manner responsible or liable for, any warranty, representation, or guarantee, expressed or implied, in fact or law, relative to the Prize or any prize, including but not limited to its quality, mechanical condition or fitness for any purpose. In no event may either Winner, Guests or any of the Releasing Parties seek or obtain injunctive or other equitable relief with respect to any actions or omissions of any of the Sponsor Parties or any breach of the Sponsor Parties' obligations, representations or warranties hereunder, under the Official Rules or for any other purpose and each of Winner and Guests expressly waive such right and agree that their sole remedy for any of the foregoing shall be an action at law for damages. The laws of the State of New York govern this Affidavit & Release, and any claims or actions brought with respect to this Affidavit & Release may only be brought in the appropriate state or federal courts located in New York, New York and the undersigned expressly consents to the jurisdiction of such courts and to accept personal service via U.S. mail. Winner and Guests acknowledge and agree that the Prize is non-transferable and non-redeemable for cash, and that no substitutions are available to either Winner or Guests. Sponsor Parties may provide a different prize of equal or greater value unless otherwise expressly prohibited in the Official Rules. Winner and Guests acknowledge and agree that this offer is void where prohibited by law and subject to all federal, state and local regulations. If any statement made by either Guests or Winner in this Affidavit & Release is false, Guests and Winner agree to return the Prize (or the value of said Prize) that has been or may be awarded to Winner and Guests immediately upon demand by Sponsor Parties. Winner and Guests understand that each is obligated to sign and have a third party witness over the age of 18 certify their respective signatures and return this affidavit to the Sponsor Parties, within three (3) days of attempted notification. Winner and Guest further understand that in the event either does not comply within this time period, Winner's entry will be disqualified and an alternate will be selected.

A COPY OF THE WINNER'S, GUEST’S AND EACH WITNESS' PICTURE IDENTIFICATION CARD (PASSPORT, DRIVERS LICENSE OR OTHER IDENTIFICATION DOCUMENT ISSUED BY A GOVERNMENTAL AUTHORITY WHICH DOCUMENT CONTAINS THE NAME, PICTURE AND BIRTH DATE) MUST ACCOMPANY THIS AFFIDAVIT & RELEASE AS EVIDENCE OF THE AGE OF EACH INDIVIDUAL.
