1. NO PURCHASE NECESSARY TO ENTER OR WIN. Void in Puerto Rico and where prohibited or restricted by law. All entries become property of Sponsors and will not be acknowledged or returned except as herein described. The Sweepstakes is open to legal residents of the Continental United States who are between the ages of 6 and 15 at time of entry. Sweepstakes not open to employees or the immediate family members of individuals employed by MTV Networks, Mattel Inc., their parent, subsidiary and affiliated companies, cable affiliates, licensees, advertising and promotional agencies, National Sweepstakes Company (“NSC”) the independent judging organization, printing agents or any other sponsors (collectively “Sponsors”), or those who have won a grand prize in any Nickelodeon sweepstakes in the previous twelve (12) months.

2. Sweepstakes commences 12:00 a.m. (ET) June 7, 2007 and ends 11:59 p.m. (ET) July 1, 2007 (“Promotional Period”).

3. TO ENTER:
Via Online: Entries are limited to one (1) entry per person, per household, per calendar day. Get your parent’s permission and complete the Sweepstakes registration form available at the www.MegaMusicTrip.com website during the Promotional Period. Use of a profane username or the submission of false or misleading personal information by an entrant will be grounds for disqualification. Sponsors retain sole discretion to determine whether entry information is profane, false, or misleading.

Entrants must complete all required data. All incomplete or inaccurate entries shall be rendered void. Sponsors are not responsible for entries that may be lost, delayed or misdirected, or for typographical errors in the entry form or rules. Collection and use of personally identifiable information will be in accordance with the Nick.com Privacy Policy as posted on Nick.com. All online entries must be received at www.MegaMusicTrip.com by 11:59 p.m. (ET) July 1, 2007.

OPT OUT: The parent and/or legal guardian of each entrant will be sent a notification e-mail upon electronic submission of the online entry form confirming entry into the Sweepstakes and providing the option to withdraw entry. If the option to withdraw is not exercised within the time period indicated on such notice, the entry will be deemed submitted.

4. The concept of the Sweepstakes is as follows: Winners will be selected by NSC in a random drawing from among all eligible entries on or about July 6, 2007. Odds of winning will depend on the total number of eligible entries received. Limit one prize per individual/household. Sponsors will begin notifying winners via email and/or telephone within 2-4 days of the drawing.

5. The prizing is as follows:
Grand Prize (1): Winner will receive a 4-day/3-night trip to New York City for four (4) (one of whom must be a parent or legal guardian of Winner) (“Prize Package”). Prize Package includes (i) round trip transportation for four (4) from the airport nearest Winner's residence to New York (total Approximate Retail Value (ARV) $3,500); (ii) standard hotel accommodations of Sponsors choice consisting of 1 room (quad occupancy) for 3 nights (total ARV $1000.00); and (iii) $1,000.00 in spending money (iv) one (1) session in a recording studio (total ARV $800.00) (v) One (1) specially engraved iPod Nano (total ARV $199.00)

Total ARV of the Grand Prize is $6,499.00. Total ARV of Grand Prize may vary depending on point of origin of the Winner.

Winner must travel with a parent or legal guardian on dates to be determined solely by Sponsors. Dates are subject to change by Sponsors. All travel arrangements and accommodations are at discretion of Sponsors. Prize package does not include daily transportation to and from the hotel, gratuities, meals and/or other incidentals not specifically stated. Sponsors reserve the right, in their sole discretion, to substitute any element of the Prize Package with a prize of equal or greater value. The value of the Grand Prize is taxable as income, and the Official Grand Prize Winner (or their parent or legal guardian if he/she is not the age of majority in his/her state of residence) is solely responsible for all matters relating to the Grand Prize, including, but not limited to, all applicable federal, state and local taxes that become due with respect to the Prize.

New York Residents: If Grand Prize Winner resides in the New York metropolitan area (or within a sixty (60) mile radius of New York City (“local resident”)), in lieu of the round trip coach airfare portion of the Prize Package, Grand Prize Winner will receive limousine transportation of Sponsor’s choice for four (4) to and from Grand Prize Winner’s residence to the hotel. Total ARV of local resident Prize Package is $3,499.00. No compensation will be awarded in lieu of the difference in the total ARV.

California Residents: If Winners resides in the State of California, Winner and Winner’s parent or legal guardian agree to waive any and all right that they or any party claiming by, through or for them have, have had, may now have or hereafter will have under the provision of Section 1542 of the civil Code of the State of California and any similar provision in any other jurisdiction. Section 1542 provides as follows:

“A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing a release, which if known by him or her must have materially affected his or her settlement with the debtor.”

First Prizes [250]: Each first prize winner will receive one (1) Chat Diva Doll (ARV $29.99). Total ARV of all First Prizes $7,497.50.

6. Winner Notification and Qualification:
Potential Winners: Following the drawing, NSC will attempt to contact the Potential Winners via email. Each Potential Winner’s parent or legal guardian must respond to the NSC by phone or email within five (5) business days of NSC’s notification, or will be subject to disqualification. If a Potential Winner’s parent or legal guardian fails to respond within stated time period, that Potential Winner will be disqualified and an alternate Potential Winner will be selected at random from among all of the remaining eligible entries.

In order for Potential Winner to be declared an Official Winner, his or her parent or legal guardian must prove eligibility to Sponsors’ satisfaction within five (5) days of NSC sending the legal documents which Sponsors may require (including a W 9 tax form). In addition, Potential Winner’s parent or legal guardian will be required to sign an affidavit: (i) releasing Sponsors from any and all liability, claims, demands and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this Sweepstakes, or the use or acceptance of the prizes or any portion thereof to be eligible for the Prize; and (ii) where permitted by law, granting Sponsors the right to use Potential Winner’s name, photograph, voice and likeness for advertising and publicity purposes without additional compensation. In addition, if the prize awarded includes travel, Official Winner and all travel guests (or their parent or legal guardian if he/she is not the age of majority in his/her state of residence) must sign a travel release prior to ticketing. Noncompliance with the above noted requirements will result in disqualification and the selection of an alternate Potential Winner. Prize will not be awarded until such requirements are met.

Upon receipt of the Prize, Official Winner’s parent or legal guardian is required to comply with any and all applicable federal, state and local laws, rules and regulations. In the event, (i) the Winner chooses not to accept his/her prize, (ii) does not comply with these Official Rules, or (iii) Sponsors are unable to contact such Winner, or notification of Prize is returned as undeliverable, such Prize will be forfeited in its entirety and awarded to an alternate Winner randomly selected from all of the remaining eligible entries.

7. By entering, participants (and their parent or legal guardian) acknowledge compliance with these official rules including all eligibility requirements. Sponsors are not responsible for any problems or technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer on-line systems, servers or providers, computer equipment, software, failure of entrants on account of technical problems or traffic congestion on the internet or at any web site or any combination thereof, including injury or damage to participants or to any other person’s computer related to or resulting from participating or downloading materials contained in this Sweepstakes. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sponsors which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsors reserve the right at their sole discretion to cancel, terminate, modify or suspend the online portion of the Sweepstakes. Should the Sweepstakes be terminated or cancelled prior to the stated expiration date, notice will be posted on the website, and any entries received prior to the termination or cancellation will be included in the drawing. Entries that have been tampered with or altered will be deemed void. In the event that a Winner entered via online and there becomes a dispute over who submitted the winning entry, the holder of the winning email address will be declared the Winner. The use of any system or agent to submit online entries in connection with this Sweepstakes is prohibited and will result in disqualification.

8. By participating or entering into this Sweepstakes, entrants and their parent or legal guardian agree to be bound by these Official Rules and the decisions of the judges and Sponsors, which are final in all matters relating to this Sweepstakes. Entry constitutes Winner's and their parent’s or legal guardian’s agreement to sign any and all legal documents which Sponsors may require.

9. All interpretations of the rules and decisions by Sponsors are final. Sponsors reserve the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or any web site associated therewith; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A SWEEPSTAKES ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS AND THEIR DESIGNEES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH SWEEPSTAKES ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.
