(The “Contest”)
OFFICIAL RULES

1. NO PURCHASE NECESSARY TO ENTER OR WIN. Void in Puerto Rico, the province of Québec and where prohibited or restricted by law. All entries become property of Sponsors. All entries become the property of Sponsors and will not be acknowledged or returned except as herein described. The Contest is open to legal residents of the 48 contiguous United States (including the District of Columbia) and Canada (except the province of Québec) who are between the ages of 6 and 14 at time of entry. Contest not open to employees or the immediate family members of individuals employed by MTV Networks, MEGA Brands Inc., their parents, subsidiary and affiliated companies, cable affiliates, licensees, advertising and promotional agencies, the independent judging organization, printing agents or any other sponsors (collectively “Sponsors”), or those who have won a grand prize in any Nickelodeon Contest in the previous twelve (12) months.

2. Contest commences 12:00 a.m. (ET) 10/01/06 and ends 11:59 p.m. (ET) 12/01/06 (“Promotional Period”).

3. TO ENTER:
Via Online: Get your parent’s permission and complete the Contest registration form in its entirety, available at the Nick.com website during the Promotional Period. Use of a profane username or the submission of false or misleading personal information by an entrant will be grounds for disqualification. Sponsors retain sole discretion to determine whether entry information is profane, false, or misleading.

Entrants must complete all required data. All incomplete or inaccurate entries shall be rendered void. Sponsors are not responsible for any problems or technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer on-line systems, servers or providers, computer equipment, software, failure of entrants on account of technical problems or traffic congestion on the internet or at any web site or any combination thereof, including injury or damage to participants or to any other person’s computer related to or resulting from participating or downloading materials contained in this Contest. If for any reason the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sponsors which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsors reserve the right at their sole discretion to cancel, terminate, modify or suspend the online portion of the Contest. Should the Contest be terminated or cancelled prior to the stated expiration date, notice will be posted on the website, and any entries received prior to the termination or cancellation will be included in the drawing. Entries that have been tampered with or altered will be deemed void. In the event that a Winner entered via online and there becomes a dispute over who submitted the winning entry, the holder of the winning email address will be declared the Winner. The use of any system or agent to submit online entries in connection with this Contest is prohibited and will result in disqualification. Collection and use of personally identifiable information will be in accordance with the Nick.com Privacy Policy as posted at http://www.nick.com/blab/sitewide/privacy/index.jhtml. All entries must be received at www.nick.com by 11:59 p.m. (ET) 12/01/06.

OPT OUT: The parent and/or legal guardian of each entrant will be sent a notification e-mail upon electronic submission of the online entry form confirming entry into the Contest and providing the option to withdraw entry. If the option to withdraw is not exercised within the time period indicated on such notice, the entry will be deemed submitted.

4. The concept of the Contest is as follows: To enter, use your Magnetix toys to construct a unique creation. Then using a digital camera, take a photo of your creation and upload that photo into the contest entry form along with your contact information and an optional description of your unique creation.

5. JUDGING: Entries will be judged by MEGA Brands Inc. or a MEGA Brands Inc.-selected panel of judges, whose decisions are final and binding in all matters relating to this Contest. Entries will be judged on the following criteria: (i) uniqueness (60%); (ii) creative use of the Magnetix toys (20%); and (iii) degree of difficulty (20%). In the case of a tie, uniqueness will serve as the tie-breaker. Entries must be the original work of the entrant and it must not have won any previous awards or competitions. Sponsors reserve the right to post the winning entries on nick.com or any Sponsors’-designated website of Sponsors’ choosing.

Winners will be determined on or about December 9, 2006, and will be notified via email. If any (i) winner’s parent or legal guardian does not respond to the instructions in the email within two (2) days of the email being sent by the Sponsors, (ii) if the notification email is returned as non-deliverable, or (iii) if winners is found to be ineligible or not in compliance with these Official Rules, such winner will be eliminated and any potential prize winning will be forfeited and an alternate winner will be determined. Odds of winning will depend on the total number of eligible entries received. Limit one (1) prize per individual/household. Sponsors will begin notifying winners via email within 1-2 days of judging.

6. The prizes are as follows:
Grand Prize (4): Winner (“GP Winner”) will be awarded a 4 day/3 night trip to the Ultimate Magnetix Build Off Championship scheduled to take place January 26, 2007 through January 29, 2007 at the Nickelodeon Hotel, for GP Winner and one (1) guest ("Prize Package"). The GP Winner’s guest must be the parent or legal guardian of the GP Winner. Prize Package includes: (i) round trip coach air transportation for two (2) from the major airport nearest GP Winner's residence to Orlando, Florida; (ii) standard hotel accommodations at the Nickelodeon Hotel of one (1) room (double occupancy) for three (3) nights; (iii) $500.00 spending money and (iv) $200 worth of Magnetix toys. All travel must be completed by January 30, 2007. If the GP Winner and his/her guest live within 100 miles of Orlando, FL, the round trip transportation portion of the Prize Package will not be awarded to such winner. Such winner will be responsible for all travel expenses to and from GP Winner’s residence to Orlando, FL. No extensions will be permitted, and any unused travel will be forfeited. Prize Package cannot be used in conjunction with any other promotion or offer and may not be separated. All tickets issued in conjunction with the Prize Package are not eligible for frequent flyer miles, and no code-share flights may be used. Travel in Prize Package may not be transferred or assigned except by Sponsor. GP Winner and guest must travel on the same itinerary and depart from and return to the same point of origin and be able to travel on dates specified by Sponsor (currently January 26 - 29, 2007). Items not specifically mentioned as being included as part of the Prize Package are solely the responsibility of GP Winner and his/her guest. Sponsor reserves the right to add or eliminate any element of the Prize Package. If a component of the Prize Package is not available during GP Winner’s trip for whatever reason (e.g., weather conditions, etc.), that portion of the Prize Package will be forfeited, and no compensation will be awarded in lieu thereof. GP Winner and guest are solely responsible for providing all necessary identification documents, passports and/or proof of residency. Failure to provide such documents may result in trip cancellation upon airport check-in. Prize Package conditions may be added or modified by companies providing any portion of the Prize Package. The Prize Package restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in the affidavit and release described below and/or prize travel documents.

Total Approximate Retail Value (ARV) of one (1) Prize Package is $1,928. Total ARV of all Prize Package is $7,712.00. ARV of Prize Package may vary depending on point of origin of GP Winner and guest.

First Prize [20]: 20 Winners will receive a Magnetix Starter Kit (ARV $10.00). Total ARV of all First Prizes: $200.

Total ARV of all Contest prizing is: $7,912.

All prizes are non transferable and have no cash equivalent, except as indicated herein. The value of the Prize Package will be considered taxable income and will be awarded in the name of the GP Winner’s parent or legal guardian who shall be solely responsible for all matters relating to the Prize Package, including, but not limited to, all applicable federal, state and local taxes that become due with respect to the Prize Package. Merchandise cannot be returned for cash. Substitution of prizes by winners is prohibited. Sponsors reserve the right in their sole discretion to substitute any prize with a prize of comparable value.
7. Winner Notification and Qualification:
Potential Winners: Following the judging, Sponsors will attempt to contact the Potential Winners via email. Each Potential Winner (or their parent or legal guardian if winner is not the age of majority in his/her state of residence) must respond to the Sponsors by phone or email within two (2) business days of Sponsors’ notification, or will be subject to disqualification. If a Potential Winner (or their parent or legal guardian, if winner is not the age of majority in his/her state of residence) fails to respond within stated time period, that Potential Winner will be disqualified and an alternate Potential Winner will be selected at random from among all of the remaining eligible entries.
In order for Potential Winner to be declared an Official Winner, he/she (or his/her parent or legal guardian if winner is not the age of majority in his/her state of residence) must prove eligibility to Sponsors’ satisfaction within two (2) days of Sponsors sending the legal documents which Sponsors may require (including a W 9 tax form). In addition, Winner (or his/her parent or legal guardian if winner is not the age of majority in his/her state of residence) will be required to sign an affidavit: (i) releasing Sponsors from any and all liability, claims, demands and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this Contest, or the use or acceptance of the prizes or any portion thereof to be eligible for the Prize; and (ii) where permitted by law, granting Sponsors the right to use his or her name, voice and likeness for advertising and publicity purposes without additional compensation. In addition, if the prize awarded includes travel, Winner (or their parent or legal guardian if winner is not the age of majority in his/her state of residence) must sign a travel release prior to ticketing, and will be required to provide a signed affidavit of eligibility and compliance with official rules and any and all legal documents which Sponsors may require before being deemed the Official Winner. Noncompliance with the above noted requirements will result in disqualification and the selection of an alternate Winner. Prize will not be awarded until such requirements are met.

Upon receipt of a Prize, Official Winner (or their parent or legal guardian if winner is not the age of majority in his/her state of residence) is required to comply with any and all applicable federal, state and local laws, rules and regulations. In the event, (i) a Winner chooses not to accept his/her prize, (ii) does not comply with these Official Rules, or (iii) Sponsors are unable to contact such Winner, or notification of Prize is returned as undeliverable, Prize will be forfeited in its entirety and awarded to an alternate Winner randomly selected from all of the remaining entries.

8. By entering, participants (and their parent or legal guardian if participant is not the age of majority in his/her state of residence) acknowledge compliance with these official rules including all eligibility requirements and agree to be bound by these Official Rules and the decisions of the judges and Sponsors, which are final in all matters relating to this Contest. Entry into this Contest constitutes Winner's (or their parent’s or legal guardian’s if winner is not the age of majority in his/her state of residence) agreement to sign any and all legal documents which Sponsors may require.

9. All interpretations of the rules and decisions by Sponsors are final. Sponsors reserve the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or any web site associated therewith; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A CONTEST ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS AND THEIR DESIGNEES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH CONTEST ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.
