OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. OPEN ONLY TO LEGAL RESIDENTS OF THE UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE BETWEEN THE AGES OF 9 AND 14 AT TIME OF ENTRY. VOID IN PUERTO RICO AND WHERE PROHIBITED OR RESTRICTED BY LAW.

HOW TO ENTER: GET YOUR PARENT’S PERMISSION BEFORE ENTERING. Visit www.nick.com/hotelfordogs (the “Website”) and complete a registration form. Normal Internet access and usage charges imposed by your on-line service will apply. Completed entry form must be submitted in accordance with the online directions during the Sweepstakes Period. Incomplete entry forms will be disqualified. All entries submitted become the sole property of Sponsors and will not be acknowledged or returned. Entries limited to one (1) entry per calendar day/per person and/or email address.

OPT OUT: The parent and/or legal guardian ("Parent") of each entrant will be sent an initial e-mail notification advising Parent that his/her child has registered at the Website for entry into the Sweepstakes, and providing the option to withdraw the entry. If the Parent does not validate the child's registration and online entry within the period indicated on the notification, the entry will not be approved.

SWEEPSTAKES PERIOD: The Sweepstakes begins at 12:00 a.m. (Eastern Time [“ET”]) on December 15, 2008 and ends at 11:59 p.m. (ET) on January 31, 2009. Entries must be received no later than 12:00 a.m. Eastern Time (“ET”) on February 1, 2009.

ELIGIBILITY: To enter the Sweepstakes you must be (i) a legal resident of the United States (excluding Puerto Rico) and the District of Columbia, (ii) between the ages of 9 and 14 at the time of entry, and (iii) be physically located in the U.S. at the time of entry. The Sweepstakes and any web site pages and advertisements relating thereto are intended for viewing only within the United States. Employees, officers and directors of MTV Networks (the “Sponsors”), The Promotional Edge (the “Sweepstakes Administrator”) and their immediate families (parents, children, siblings and spouse, regardless of where they live), and members of their households (whether related or not), and those winners who have won a grand prize in any Nickelodeon sweepstakes/promotion in the twelve (12) months prior to the start of the Sweepstakes Period, are ineligible to participate in this Sweepstakes. Sponsor, Sweepstakes Administrator, Paramount Pictures Corporation, product provider, internet and service providers and their respective parent companies, licensors, trustees, subsidiaries, franchisees, affiliates, licensees, directors, officers, employees, agents, independent contractors and advertising and promotion agencies shall collectively be referred to herein as “Sweepstakes Entities”.

GENERAL REQUIREMENTS FOR ENTRIES:
Each entrant agrees warrants and represents that the use of the materials submitted in this Sweepstakes will not violate the rights of any third parties. Entries must be in keeping with Sponsors’ positive image, as determined by Sponsors in their sole discretion. Any materials containing obscenity, crude language, or descriptions of a violent or sexual nature (as defined solely by the Sweepstakes Entities) will not be accepted and the associated Entry will be disqualified. The Sweepstakes Entities will not acknowledge or verify receipt of entries except as indicated herein. Use of a profane username or the submission of false or misleading personal information by an entrant will be grounds for disqualification. Sweepstakes Entities retain sole discretion to determine whether entry information is profane, false, or misleading.

Entrants must provide all required data. All entries must be online only. Any entries sent via overnight mail or facsimile or are incomplete or are deemed to contain inaccurate information shall be rendered void. Entries that have been tampered with, altered, mechanically reproduced, defective, forged or submitted through or outside authorized channels, facsimile, programmed or similar entry duplication method will be rendered void. If at any time a dispute arises over who submitted the winning entry, the authorized account holder of the winning e-mail address will be declared the Winner. The "authorized account holder" is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. A potential winner may be required to provide Sweepstakes Entities with satisfactory proof that s/he is the authorized account holder of the e-mail address associated with the potential winning entry. The use of any system or agent to submit online entries in connection with this Sweepstakes is prohibited and will result in disqualification. Collection and use of personally identifiable information will be in accordance with the nick.com Privacy Policy as posted on nick.com.

WINNER SELECTION: Potential Winners will be selected by the Sweepstakes Administrator from all eligible entries received in a random drawing held on or about February 1, 2009. Odds of winning depend on the number of eligible entries received. Potential Winners will be notified by phone and/or email within approximately three (3) business days of drawing. If a Potential Winner cannot be reached within two (2) calendar days from the first notification attempt, such Potential Winner shall be disqualified and an alternate Potential Winner will be selected at random from the remaining eligible entries received.

QUALIFICATION OF WINNER: The parent or legal guardian of the Potential Grand Prize Winner must be able to provide proof that the Potential Grand Prize Winner is eligible to be deemed the Official Grand Prize Winner to Sweepstakes Entities’ satisfaction. The Potential Grand Prize Winner and his/her parent or legal guardian will be required to sign and return an affidavit of eligibility and compliance with Official Rules and any and all legal documents which Sweepstakes Entities may require, including but not limited to a W-9 tax form within two (2) business days from receipt or be subject to disqualification. By participating, Grand Prize Winner and his/her parent or legal guardian agree (and agree to affirm such in writing) (i) to release, discharge, indemnify and hold harmless Sweepstakes Entities and their respective directors, officers, employees, representatives and agents from any liability, claims, demands, and cause of action from personal injury, loss or damage, including death, or property damage, theft, or loss suffered or resulting from participation in this Sweepstakes or the use, misuse or acceptance or possession of the Grand Prize or any portion thereof, or participation in any Sweepstakes-related activity; and (ii) where permitted by law, grant Sweepstakes Entities the right to use his/her name, voice, and likeness for advertising and publicity purposes, in all forms of media, in perpetuity, without additional compensation. Entry into Sweepstakes constitutes Grand Prize Winner’s parent or legal guardian’s agreement to sign such releases. Receipt of any of the prize components of this Sweepstakes is conditioned upon compliance with any and all applicable federal, state and local laws, rules, and regulations. Noncompliance with any of the above will result in disqualification and an alternate Potential Grand Prize Winner will be selected.

PRIZING: One (1) Grand Prize Winner and their pet will win a shopping spree, bedroom decorations and a personal makeover, which includes the following:

Shopping Spree:
A $500.00 debit card or gift certificate for the Grand Prize Winner and a $500.00 debit card or gift certificate for the Grand Prize Winner’s pet.

Bedroom Decoration:
A $300.00 gift certificate to a local department store of Sweepstakes Entities’ choice to purchase items to makeover Grand Prize Winner’s room and a $300.00 gift certificate or debit card to be used at local pet store for the purchase a fantasy pet bed and other pet accessories. Eight (8) stuffed Hotel For Dogs characters; approximate retail value: $200.00. Additional Hotel For Dogs branded items (at discretion of Paramount).

Makeover:
A makeover for the Grand Prize Winner to include a haircut (color optional), manicure, and pedicure. A makeover for the Grand Prize Winner’s pet at a Sweepstakes Entities’ selected local groomer to include shampoo, cut, style, blow dry, cool pet accessories, and painting of the furry friend’s nails.

Total Approximate Retail Value of Grand Prize: $2,537.50

LIMITATIONS OF LIABILITY:
Sweepstakes Entities are not responsible for (i) lost, late, stolen, misdirected, damaged, incomplete or garbled entries, (ii) any problems or technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer online systems, servers or providers, computer equipment, software, failure of entrants on account of technical problems or traffic congestion on the internet or at any website or any combination thereof, including injury or damage to participants or to any other person’s computer(s) related to or resulting from participating or downloading materials contained in this Sweepstakes, (iii) communication disruption or other forces beyond their reasonable control, including inability to access any website, submit an entry or other disruption related to internet traffic, virus, bug or any unauthorized intervention whether or not caused by any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity(ies), equipment failure, including overloading of the Website due to excessive use, threatened terrorist act(s), terrorist act(s), air raid(s), blackout(s), act(s) of public enemy, earthquake(s), war(s) (declared or undeclared), fire(s), flood(s), epidemic(s), explosion(s), unusually severe weather, hurricane(s), embargo(s), labor dispute(s) or strike(s) (whether legal or illegal), labor or material shortage(s), transportation interruption(s) of any kind, work slow-down(s), civil disturbance(s), insurrection(s), riot(s), or any other similar or dissimilar cause(s) beyond Sweepstakes Entities’ sole and reasonable control, (iv) injury or damage to persons or property caused, directly or indirectly, in whole or in part from any entrant's participation in the Sweepstakes or receipt or use of any portion of the Prize or by computer virus or otherwise resulting to any computers from entrant’s access to the Sweepstakes website or entry into the Sweepstakes, or (v) printing or other errors appearing in the rules or other Sweepstakes materials.

If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sweepstakes Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor and/or Sweepstakes Administrator reserve the right at their sole discretion to cancel, terminate, modify or suspend the Sweepstakes. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sponsor and/or Sweepstakes Administrator may, in their sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Sweepstakes and award the prize from among the eligible entries received up to the time of the impairment

ENTRANTS FURTHER AGREE THAT IN ANY CAUSE OF ACTION, THE SWEEPSTAKES ENTITIES' LIABILITY WILL BE LIMITED TO THE COST OF ENTERING AND PARTICIPATING IN THE SWEEPSTAKES, AND IN NO EVENT SHALL THE SWEEPSTAKES ENTITIES BE LIABLE FOR ATTORNEYS' FEES AND/OR EXPERTS' FEES AND COSTS. ENTRANTS WAIVE THE RIGHT TO CLAIM ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, PUNITIVE, CONSEQUENTIAL, DIRECT, OR INDIRECT DAMAGES.

Sweepstakes Entities reserve the right in their sole discretion to disqualify any individual that Sweepstakes Entities find to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sweepstakes Entities reserve the right to seek damages from any such person to the fullest extent permitted by law. Sweepstakes Entities' failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

USE OF INFORMATION: By entering the Sweepstakes you agree that your entry and any other personally identifiable information collected or used in connection with the Sweepstakes may be used by the Sweepstakes Entities in accordance with its Privacy Policy, as posted on www.nick.com, and any “opt-in” language contained on the Sweepstakes entry web page, if any.
