1. NO PURCHASE NECESSARY TO ENTER OR WIN. Many will enter, few will win. A purchase will not increase your chances of winning. Sweepstakes open to legal residents of the United States who are 17 years old or younger as of October 9, 2007. If you are under the age of 13 you must have your parent or legal guardian's permission before entering the Sweepstakes. Winners must prove eligibility. Void where prohibited or restricted by law. All entries become the property of Sponsors and will not be acknowledged or returned except as indicated. Sweepstakes not open to employees or the immediate family members of individuals employed by Sponsors, their parent, subsidiary and affiliated companies, cable affiliates, licensees, advertising and promotional agencies, the independent judging organization, printing agents or any other sponsors, or those who have won a grand prize in any Nickelodeon sweepstakes in the previous twelve (12) months.

2. Sweepstakes commences September 5, 2007 and ends October 9, 2007 (the "Promotional Period"). All entries must be received by midnight (E.T.), October 9, 2007.

3. TO ENTER: the sweepstakes, email the word "WIN2" to nickmagpromos@nick.com. One (1) entry per person, per email address. Mailed or faxed entries will not be accepted. Limit one prize per family/household. Entries are limited to one (1) entry per person per calendar day. Use of a profane username or the submission of false or misleading personal information by an entrant will be grounds for disqualification. Sponsors retain sole discretion to determine whether entry information is profane, false, or misleading.

Entrants must complete all required data. All incomplete or inaccurate entries shall be rendered void. Sponsors are not responsible for entries that may be lost, delayed or misdirected, or for typographical errors in the entry form or rules. Collection and use of personally identifiable information will be in accordance with the Nick.com Privacy Policy as posted on Nick.com. All entries must be emailed to nickmagpromos@nick.com by midnight (E.T.), October 9, 2007.

OPT OUT: The parent and/or legal guardian of each entrant under the age of 13 will be sent a notification e-mail upon electronic submission of the online entry form confirming entry into the Sweepstakes and providing the option to withdraw entry. If the option to withdraw is not exercised within the time period indicated on such notice, the entry will be deemed submitted.

4. The concept of the Sweepstakes is as follows: OPT OUT: The parent and/or legal guardian of each entrant under the age of 13 will be sent a notification e-mail upon electronic submission of the online entry form confirming entry into the Sweepstakes and providing the option to withdraw entry. If the option to withdraw is not exercised within the time period indicated on such notice, the entry will be deemed submitted.

Winners will be required to sign an Affidavit of Eligibility and Release within 14 days of being notified.  If a winner is unreachable within such time period, an alternate winner will be selected from among all remaining entries received. Odds of winning will depend on the total number of entries received.

5. The prizing is as follows: Winners (10): Each of the ten (10) winners will be awarded one of each of the following items: (i) WB Kid’s watch or backpack (Approximate Retail Value (ARV): $ and & $ respectively); (ii) Hot Wheels – Beat That! Playstation2 videogame (ARV: $39.99), (iii) Paramount Home Entertainment’s Wayside: The Movie DVD (ARV: $16.99), (iv) Pokemon Battle Revolution Nintendo Wii videogame (ARV: $49.99), (v), Sonic Rush Adventure Nintendo DS videogame (ARV: $29.95). Sponsors reserve the right, in their sole discretion, to substitute any element of the Grand Prize with a prize of equal or greater value. Total ARV of one (1) winner’s prizes: $. Residents of the State of California: If winner resides in the state of California, Winner agrees to waive any and all right that they or any party claiming by, through or for them have, have had, may now have or hereafter will have under the provision of Section 1542 of the civil Code of the State of California and any similar provision in any other jurisdiction. Section 1542 provides as follows:

"A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing a release, which if known by him or her must have materially affected his or her settlement with the debtor."

6. Winner Notification and Qualification: Potential Winner: Following the drawing, Sponsors will attempt to contact Potential Winners via phone and/or email. Potential Winner (or their parent or legal guardian if under the age of 13) must respond by phone or email within five (5) business days of being notified, or will be subject to disqualification. If a Potential Winner (or their parent or legal guardian if under the age of 13) fails to respond within stated time period, that Potential Winner will be disqualified and an alternate Potential Winner will be selected at random from among all of the remaining eligible entries.

In order for a Potential Winner to be declared an Official Winner, he/she (or their parent or legal guardian if under the age of 13) must prove eligibility to Sponsors’ satisfaction within five (5) days of Sponsors sending the legal documents which Sponsors may require (including a W 9 tax form). In addition, Potential Winner (or their parent or legal guardian if under the age of 13) will be required to sign an affidavit: (i) releasing Sponsors from any and all liability, claims, demands and causes of action for personal injury or death, or damage, theft, or loss suffered in connection with this Sweepstakes, or the use or acceptance of the prizes or any portion thereof to be eligible for the Prize; and (ii) where permitted by law, granting Sponsors the right to use Official Winner’s name, voice and likeness for advertising and publicity purposes without additional compensation. Noncompliance with the above noted requirements will result in disqualification and the selection of an alternate Potential Winner. Prize will not be awarded until such requirements are met.

Upon receipt of the Prize, Official Winner (or their parent or legal guardian if under the age of 13) is required to comply with any and all applicable federal, state and local laws, rules and regulations. The value of the Prize may be taxable as income, and the Official Winner (or their parent or legal guardian if under the age of 13) is solely responsible for all matters relating to the Prize, including, but not limited to, all applicable federal, state and local taxes that become due with respect to the Prize. In the event, (i) the Winner chooses not to accept his/her prize, (ii) does not comply with these Official Rules, or (iii) Sponsors are unable to contact such Winner, or notification of Prize is returned as undeliverable, the Prize will be forfeited in its entirety and awarded to an alternate Potential Winner randomly selected from all of the remaining entries.

7. By entering, participant (and their parent or legal guardian if under the age of 13) acknowledge compliance with these Official Rules including all eligibility requirements and agrees to be bound by such Official Rules and the interpretations of the Official Rules and the decisions of Sponsors which are final in all matters related to this Sweepstakes. Sponsors are not responsible for any problems or technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer on-line systems, servers or providers, computer equipment, software, failure of entrants on account of technical problems or traffic congestion on the internet or at any web site or any combination thereof, including injury or damage to participants or to any other person’s computer related to or resulting from participating or downloading materials contained in this Sweepstakes. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sponsors which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsors reserve the right at their sole discretion to cancel, terminate, modify or suspend the online portion of the Sweepstakes. Should the Sweepstakes be terminated or cancelled prior to the stated expiration date, notice will be posted on the website, and any entries received prior to the termination or cancellation will be included in the drawing. Entries that have been tampered with or altered will be deemed void. In the event that there becomes a dispute over who submitted the winning entry, the holder of the winning email address will be declared the Winner. The use of any system or agent to submit online entries in connection with this Sweepstakes is prohibited and will result in disqualification.

8. Sponsors reserve the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or any web site associated therewith; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A SWEEPSTAKES ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSORS AND THEIR DESIGNEES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH SWEEPSTAKES ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.
