1. NO PURCHASE NECESSARY TO ENTER OR WIN. A purchase will not increase your chances of winning. Sweepstakes open to legal residents of the United States who are 17 years old or younger as of January 31, 2007. Winners must prove eligibility. Void where prohibited or restricted by law. All entries become the property of Sponsors and will not be acknowledged or returned except as indicated. Sweepstakes is not open to employees and their immediate families of MTV Networks, their parent, subsidiaries and affiliated companies, advertising agencies, and any and all other sponsors (collectively "Sponsors").

2. Sweepstakes commences November 13, 2007 and ends December 25, 2007. All entries must be received at nickmagpromos@nick.com by midnight (E.T.), December 25, 2007.

3. To enter the Sweepstakes, email the words "HOLIDAY GIFT GUIDE" to nickmagpromos@nick.com. One (1) entry per person, per email address, per calendar day. Mailed or faxed entries will not be accepted. Limit one prize per family/household. Use of a profane username or the submission of false or misleading personal information by an entrant will be grounds for disqualification.  Sponsors retain sole discretion to determine whether entry information is profane, false, or misleading.

4. Entrants must complete all required data. All incomplete or inaccurate entries shall be rendered void. Sweepstakes sponsors are not responsible for entries that may be lost, delayed, mutilated or misdirected or for typographical errors in the entry forms or rules.

5. The concept of the Sweepstakes: Winners will be selected in a random drawing on or about January 29, 2008, by an independent judging organization from among all qualified entries received. Winners will be notified by email on or before February 5, 2008. Grand Prize winner will be required to sign an Affidavit of Eligibility and Release within 14 days of notification. If a winner is unreachable within such time period or does not comply with the 14-day limit, an alternate winner will be selected from among all remaining qualified entries. Odds of winning will depend on the total number of entries received. Many will enter, few will win.

6. Prizes are as follows:

Total ARV of Grand Prize: $634.77.

First Prize (10): Each winner will each receive a one-year subscription to NICK MAGAZINE (ERV: $22.90). The total ARV of all First Prizes: $229.

Total ARV of all sweepstakes prizing is $863.77.

Arrangements for fulfillment of prizes to be made by MTV Networks on or before February 5, 2008.

7. All prizes are non-transferable, have no cash equivalent, are not redeemable or returnable for cash, and may be considered taxable. Substitution of prizes by winners is prohibited. Sponsors reserve the right in their sole discretion to substitute any prizes with prizes of comparable value. A winner's receipt of any of the prize components of this Sweepstakes is conditional upon compliance of any and all applicable Federal, State and Local laws, rules and regulations. Winners' parent or legal guardian is solely responsible for all insurance and applicable Federal, State and Local taxes.

8. Grand Prize winner and his/her parent or legal guardian will be required within thirty (30) business days to sign and return an affidavit of eligibility and compliance with the official rules and all legal documents which Sponsors may require (including a W-9 form). In addition, Grand Prize winner and his/her parent or legal guardian must sign an affidavit (i) releasing Sponsors of the Sweepstakes from any and all liability, claims, demands and causes of action for personal injury and/or damage, theft or loss suffered in connection with this Sweepstakes or the use or acceptance of the prizes or any portion thereof to be eligible for the prizes and (ii) where permitted by law, granting Sponsors the right to use winner's name and likeness for advertising and publicity purposes without additional compensation. Entry into the sweepstakes constitutes the winner's parent or legal guardian's agreement to sign such releases. Noncompliance within this time period will result in disqualification and an alternate winner will be selected.

9. By participating in this sweepstakes, entrants agree to be bound by these rules and the decisions of the judges and Sponsors, which are final in all matters relating to this sweepstakes.
