("The Sweepstakes")
OFFICAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. Sweepstakes is open to legal residents of the 48 contiguous United States and the District of Columbia who are between the ages of 6 and 14 years of age at the time of entry. Sweepstakes is not open to employees or the immediate family members or those living in the same household (whether legally related or not) of individuals employed by MTV Networks ("Sponsor"), Warner Bros. Entertainment Inc. ("Partial Prize Supplier"), Arrowhead Promotion & Fulfillment Co., Inc. (the "Judges"), their respective parents, subsidiaries, divisions, affiliates, licensees, advertising and promotional agencies, printing agents and any other prize suppliers. The aforementioned parties shall be referred to herein collectively as the "Sweepstakes Entities." All entries become the property of Sponsor and will not be acknowledged or returned except as herein indicated. All the information collected by nick.com is securely maintained and used only for the purpose of conducting the sweepstakes. Once the sweepstakes is finished, Nickelodeon then deletes any personal information collected. For further explanation, view the Nickelodeon online privacy policy located at www.nick.com.

Sweepstakes commences as of 12:01AM Eastern Time ("ET") on March 21, 2008 and ends as of 11:59 PM ET on May 1, 2008 (the "Sweepstakes Period"). All entries must be received no later than 11:59 PM ET, on May 1, 2008.

TO ENTER: Complete and submit a registration form available at www.nickmag.com/wb during the Sweepstakes Period. Entrants under the age of 13 must obtain their parent or legal guardian's permission prior to entering. Online entries are limited to one (1) entry per person, per household, per e-mail address, per calendar day. Use of a profane username or the submission of false or misleading personal information by an entrant will be grounds for disqualification. Sweepstakes Entities retain the sole right at their discretion to determine whether entry information is profane, false, or misleading.

OPT OUT: The parent and/or legal guardian ("Parent") of each entrant who is under the age of thirteen (13) will be sent an initial e-mail notification advising Parent that his/her child has registered at www.nick.com for entry into the Sweepstakes, and providing the option to withdraw the entry. If the Parent does not validate the child's registration and online entry within the period indicated on the notification, the entry will be approved.

Entrants must provide all required data. All entries must be online only. Any entries sent via overnight mail or facsimile or are incomplete or are deemed to contain inaccurate information shall be rendered void. Entries that have been tampered with, altered, mechanically reproduced, defective, forged or submitted through or outside authorized channels, facsimile, programmed or similar entry duplication method will be rendered void. If at any time a dispute arises over who submitted the winning entry, the authorized account holder of the winning e-mail address will be declared the Winner. The "authorized account holder" is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. A potential winner may be required to provide Sweepstakes Entities with satisfactory proof that s/he is the authorized account holder of the e-mail address associated with the potential winning entry. The use of any system or agent to submit online entries in connection with this Sweepstakes is prohibited and will result in disqualification. Collection and use of personally identifiable information will be in accordance with the nick.com Privacy Policy as posted on nick.com. All entries must be received at www.nickmag.com/wb no later than 12:01 a.m. ET on May 1, 2008.

Winner Selection: One (1) Potential Winner will be selected by the Judges from all eligible entries received in a random drawing held on or about May 10, 2008. Odds of winning depend on the number of eligible entries received. Potential Winner will be notified by phone and/or mail within approximately three (3) business days of drawing. If a Potential Winner cannot be reached within two (2) calendar days from the first notification attempt, such Potential Winner shall be disqualified and an alternate Potential Winner will be selected at random from the remaining eligible entries received. In order for the Potential Winner to be deemed the Official Winner, s/he (along with his/her parent or legal guardian) will be required to sign an affidavit and release as indicated herein.

The Sweepstakes prizing is as follows:
Grand Prize (1): Winner will receive a three (3)-day two (2)-night trip for four (4) persons to a Warner Bros. movie premiere in New York, NY or Los Angeles, CA ("Prize Package"). Trip location and movie premiere shall be at Sweepstakes Entities' sole and absolute discretion. Winner (and any guest of Winner who is a minor) must be accompanied by his or her parent or legal guardian. Prize Package includes: (i) Roundtrip coach airfare for four (4) from the airport nearest Winner's residence to the city in which the premiere will take place; (ii) three (3)-day two (2)-night standard hotel accommodations (single room, quad occupancy) of
Sweepstakes Entities' choice; and (iii) four (4) tickets to a Warner Bros. movie premiere to be determined by Partial Prize Supplier in Partial Prize Supplier's sole and absolute discretion. Prize Package does not include daily transportation, transport to and from airports, gratuities, meals and any incidentals not specifically stated herein. Sweepstakes Entities reserve the right to add, eliminate or substitute any element of the Prize Package. Approximate Retail Value ("ARV") of Grand Prize: $4,999.99. Winner and guests must travel on the same itinerary and have the same port of departure and return. Final ARV of Grand Prize shall be determined by the port of departure of the Grand Prize Winner.

If Winner resides within a sixty (60) mile radius of trip location (is a "local resident"), in lieu of the round trip coach air transportation portion of the Prize Package, Winner will receive i) round-trip limousine transportation of Sweepstakes Entitties' choice for Winner and his/her guests from Winner's residence to the venue. No compensation will be awarded in lieu of the difference in the ARV for the Grand Prize for a local resident and the ARV for the Grand Prize for a Winner who is not a local resident.

Grand Prize is non-transferable and has no cash equivalent. Substitution of prizing by Winner is not permitted. All airline tickets issued in connection with the Grand Prize are not eligible for frequent flyer miles. Airline tickets cannot be used in conjunction with any other promotion or offer. Sweepstakes Entities reserve the right in their sole discretion to substitute any prize or portion thereof with a prize of comparable or greater value. In the event that the Potential Winner (or Potential Winner's parent or legal guardian) chooses not to accept his/her prize, or is unable to be notified, an alternate Potential Winner will be randomly selected from all of the remaining entries. Parent or legal guardian of Potential Winner is solely responsible for all insurance, registration and all applicable federal, state, and local taxes.

Qualification of Winner:
Potential Winner's parent or legal guardian must prove Potential Winner's eligibility to Sweepstakes Entities' satisfaction prior to Potential Winner being deemed the Official Winner. Potential Winner and his/her parent or legal guardian will be required to sign and return an affidavit of eligibility and compliance with Official Rules and all legal documents which Sweepstakes Entities may require (including a W-9 tax form) within five (5) business days from receipt or be subject to disqualification. By participating, Winner, participants and their parent(s) or legal guardian(s) agree (and agree to affirm such in writing) (i) to release, discharge, indemnify and hold harmless Sweepstakes Entities and their respective directors, officers, employees, representatives and agents from any liability, claims, demands, and cause of action from personal injury, loss or damage, including death, or property damage, theft, or loss suffered or resulting from participation in this Sweepstakes or the use, misuse or acceptance or possession of the Grand Prize or participation in any Sweepstakes-related activity; and (ii) where permitted by law, granting Sweepstakes Entities the right to use their names, voices, and likenesses for advertising and publicity purposes without additional compensation. All travelers must sign a travel release prior to ticketing. Entry into Sweepstakes constitutes Winner's parent or legal guardian's agreement to sign such releases. Receipt of any of the prize components of this Sweepstakes is conditioned upon compliance with any and all applicable federal, state and local laws, rules, and regulations. Noncompliance with any of the above will result in disqualification and an alternate Potential Winner will be selected.

Limitations of Liability:
Sweepstakes Entities are not responsible for (i) lost, late, stolen, misdirected, damaged, incomplete or garbled entries, (ii) any problems or technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer online systems, servers or providers, computer equipment, software, failure of entrants on account of technical problems or traffic congestion on the internet or at any website or any combination thereof, including injury or damage to participants or to any other person's computer(s) related to or resulting from participating or downloading materials contained in this Sweepstakes, (iii) communication disruption or other forces beyond their reasonable control, including inability to access any website, submit an entry or other disruption related to internet traffic, virus, bug or any unauthorized intervention whether or not caused by any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity(ies), equipment failure, including overloading of the Website due to excessive use, threatened terrorist act(s), terrorist act(s), air raid(s), blackout(s), act(s) of public enemy, earthquake(s), war(s) (declared or undeclared), fire(s), flood(s), epidemic(s), explosion(s), unusually severe weather, hurricane(s), embargo(s), labor dispute(s) or strike(s) (whether legal or illegal), labor or material shortage(s), transportation interruption(s) of any kind, work slow-down(s), civil disturbance(s), insurrection(s), riot(s), or any other similar or dissimilar cause(s) beyond Sweepstakes Entities' sole and reasonable control, (iv) injury or damage to persons or property caused, directly or indirectly, in whole or in part from any entrant's participation in the Sweepstakes or receipt or use of any portion of the Prize or by computer virus or otherwise resulting to any computers from entrant's access to the Sweepstakes website or entry into the Sweepstakes, or (v) printing or other errors appearing in the rules or other Sweepstakes materials.

If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sweepstakes Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sweepstakes Entities reserve the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sweepstakes Entities may, in their sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Sweepstakes and award the prize from among the eligible entries received up to the time of the impairment
Sweepstakes Entities shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any performer(s)/event(s), air carrier(s), hotel(s), or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the Winner's and his/her travel companion transportation and such contracts shall be solely between the Winner, his/her travel companion and such transportation companies. Sweepstakes Entities shall not be parties to such contracts and shall assume no responsibility in such connection. Sweepstakes Entities shall not be liable for any loss or damage to baggage or the loss, theft or damage of cash, cameras, jewelry, securities, heirlooms, negotiable papers or other valuables.

If the Winner becomes disabled or cannot otherwise fully enjoy the Prize package due to illness, Sweepstakes Entities shall have the option of: (1) being relieved of liability for fulfillment of the Prize award; or (2) at Sweepstakes Entities' sole discretion extending the period during which such prize may be awarded for a period equal to the duration of the Winner's disability or illness, in which case certain prize components may not be available. The Winner must prove such disability by a doctor's certificate. Sweepstakes Entities' failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Entrants further agree that in any cause of action, the Sweepstakes Entities' liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Sweepstakes Entities be liable for attorneys' fees and/or experts' fees and costs. Entrants waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
Sweepstakes Entities reserve the right in their sole discretion to disqualify any individual that Sweepstakes Entities find to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sweepstakes Entities reserve the right to seek damages from any such person to the fullest extent permitted by law. Sweepstakes Entities' failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

By participating in this Sweepstakes, entrants and Official Winner agree to be bound by these Official Rules and the decisions of the Sweepstakes Entities, which are final in all matters relating to this Sweepstakes.

For Official Winner's name and/or a complete set of Official Rules, send a stamped, self-addressed envelope to the below address. All requests for list of winners or a copy of these rules must be received no later than June 30, 2008. WA and VT residents may omit return postage.
