NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. SWEEPSTAKES OPEN ONLY TO LEGAL AND CURRENT RESIDENTS OF THE 50 UNITED STATES OR THE DISTRICT OF COLUMBIA WHO ARE 17 YEARS OF AGE OR YOUNGER AT TIME OF ENTRY. VOID IN PUERTO RICO AND WHERE PROHIBITED OR RESTRICTED BY LAW. If you are considered a minor in the state in which you reside ("Minor"), you must have your parent or legal guardian’s (hereinafter referred to as "Parent") permission prior to participation. HOW TO ENTER: Visit www.NickMag.com/youcanwin and complete and submit an Official Registration Form as directed on the website. Normal Internet access and usage charges imposed by your online service may apply. Completed entry form (individually an "Entry," collectively the "Entries") must be submitted in accordance with the online directions during the Sweepstakes Period (as defined below). Any incomplete Entry will be disqualified. Entries must be received no later than 11:59 PM Eastern Time ("ET") on May 18, 2009. MTV Networks (the "Sponsor") or The National Sweepstakes Company (the "Sweepstakes Administrator") will not acknowledge or verify receipt of Entries except as indicated herein. Sponsor and Sweepstakes Administrator shall collectively be referred to herein as "Sweepstakes Entities." Use of a profane user name or the submission of false or misleading personal information by a Participant (as defined below) will be grounds for disqualification. Sweepstakes Entities retain sole discretion to determine whether Entry information is profane, false, or misleading. All Entries submitted become the sole property of Sponsor and will not be returned. Entries limited to one (1) entry per calendar day, per person, and per email address.

OPT OUT: The Parent of each Participant under the age of 13 will be sent a notification e-mail upon electronic submission of the online entry form confirming entry into the Sweepstakes and providing the option to withdraw entry. If the option to withdraw is not exercised within the time period indicated on such notice, the Entry will be deemed submitted.

SWEEPSTAKES PERIOD: The Sweepstakes will begin at 12:00 AM ET on April 14, 2009 and end at 11:59 PM ET on May 18, 2009, (the "Sweepstakes Period").

ELIGIBILITY: To participate in the Sweepstakes, you must be (i) a legal resident of the 50 United States or the District of Columbia, and (ii) 17 years of age or younger (if a Minor, Parent's permission is required) at the time of entry ("Participant"). The Sweepstakes and any website pages and advertisements relating thereto are intended for viewing only within the United States. Sweepstakes is not open to employees, officers and directors of Sweepstakes Entities, and their respective parent companies, affiliates, subsidiaries, and advertising and promotion agencies and their immediate families (parents, children, siblings, and spouse, regardless of where they live), and members of their households (whether related or not), and those winners who have won a grand prize in any Nickelodeon sweepstakes/promotion in the twelve (12) months prior to the start of the Sweepstakes Period.

GENERAL REQUIREMENTS FOR ENTRIES: Each Participant (and his/her Parent) warrants and represents, and agrees to do so in writing, that Sweepstakes Entities' use of the materials submitted by Participant in this Sweepstakes will not violate the rights of any third party. Entries must be in keeping with Sweepstakes Entities' positive image, as determined by Sweepstakes Entities in their sole discretion. Any materials containing obscenities, crude language, or descriptions of a violent or sexual nature or that are otherwise inappropriate (as determined solely by the Sweepstakes Entities) will not be accepted, and the associated Entry will be disqualified.

DRAWING AND NOTIFICATION: On or about June 1, 2009, the Sweepstakes Administrator will select potential prize winners ("Potential Prize Winners") by conducting a random drawing from all Entries received during Sweepstakes Period. Sweepstakes Administrator will notify Potential Prize Winners via e-mail within two (2) days of being selected. If a Potential Winner (or his/her Parent) fails to respond within five (5) business days, that Potential Winner will be disqualified and an alternate Potential Winner will be selected at random from among all the remaining eligible entries.

Odds of winning a prize depends on the total number of eligible Entries received during the Sweepstakes Period. Sweepstakes Entities' decisions are final and binding in all respects.

PRIZING: Grand Prize (5): Five (5) winners will be awarded one of each of the following items: (i) Help Wanted video game for Nintendo Wii (Approximate Retail Value "ARV": $29.99), (ii) SpongeBob's Greatest Hits CD (ARV: $18.98), (iii) SpongeBob – Spongicus DVD (ARV: $16.99). Total ARV of one Grand Prize: $65.96. Total ARV of all Prizes: $329.80.

GENERAL PRIZE CONDITIONS/RESTRICTIONS: Sweepstakes Entities are not responsible for any mechanical difficulties or failures connected with the Sweepstakes. No transfer or substitution of Prizes is allowed except at the sole discretion of the Sweepstakes Entities. Sweepstakes Entities reserve the right, in their sole and absolute discretion, to substitute a prize with a prize of equal or greater value. Official Winner (or his/her Parent) is responsible for any and all applicable federal, state, and local taxes, as well as any other costs and expenses associated with acceptance of Prize. Prize is awarded "as is" with no warranty, either expressed or implied. All prize details are at Sweepstakes Entities' sole discretion.

RELEASES/TAXES:Before a Potential Prize Winner will be deemed an Official Prize Winner, his/her Parent will be required to execute and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (except where prohibited) (the "Affidavit/Release"). Except where prohibited by law, Winner's acceptance of a Prize constitutes Winner's permission for the Sweepstakes Entities and those acting under their authority to use the Winner's name, photograph, likeness, statements, biographical information, voice, and address (city and state only) on a worldwide basis, and in all forms of media, in perpetuity and for advertising or promotional purposes without review, notification, or further compensation to the Winner. The Affidavit/Release must be returned within two (2) business days of Sweepstakes Entities sending such documents. If the documents are not returned within that time, the Potential Prize Winner will be disqualified at Sweepstakes Entities' sole discretion and another Potential Prize Winner will be selected, if time permits.

SWEEPSTAKES CONDITIONS: This Sweepstakes is subject to all applicable federal, state, and local laws. By entering, Participant (and his/her Parent) agrees to abide by and be bound by these Official Rules and the decisions of Sweepstakes Entities on all matters relating to this Sweepstakes (which are final and binding) and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. By entering, Participant (and his/her Parent) agrees to release, discharge, indemnify, and hold harmless the Sweepstakes Entities, their respective parent companies, affiliates, subsidiaries, and advertising and promotion agencies, and each of their respective officers, directors, employees, representatives, and agents (the "Released Parties") from and against any claims, damages, or liability due to any injuries, theft, damages, or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, receipt, possession, misuse, or use of Prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes. Participant (and his/her Parent) assumes all liability for any injury or damage caused, or claimed to be caused, by participating in this Sweepstakes or use or redemption of the Prize. In the event a Potential Prize Winner or Winner is disqualified for any reason under the provisions of these Official Rules, such Potential Prize Winner or Winner and all rights to any Prize will be forfeited in their entirety and at Sweepstakes Entities' discretion, and a random drawing will be conducted in order to select an alternate Potential Prize Winner. A Prize or prize notification being returned as undeliverable will result in disqualification of such Potential Prize Winner and, at Sweepstakes Entities' discretion, an alternate Potential Prize Winner may be selected.

LIMITATIONS OF LIABILITY: Released Parties are not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes, system errors or failures, or faulty transmissions or other telecommunications or other types of malfunctions or interferences and/or from any hardware or software failures of any kind, lost, interrupted, or unavailable network, server, Telephone Service Provider (TSP), Internet Service Provider (ISP), website or other connections, availability or accessibility or miscommunications or failed, incomplete or jumbled, scrambled, delayed or garbled or misdirected computer or telephone transmission, or system errors and failures, or faulty transmissions, or as a result of any other problems or technical malfunctions or other errors or difficulties of any kind, whether human, mechanical, electronic, computer, network, typographical, printing, or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of Entries, the announcement of Prizes, the incorrect downloading/uploading of any Sweepstakes-related materials, and injury or damage to any person's computer and/or wireless related to or resulting from participating in this Sweepstakes or downloading materials from or use of the TSP or ISP's website.

If for any reason the Sweepstakes is not capable of running as planned, including, but not limited to failures to submit an entry or other disruption related to telephone and/or Internet traffic, virus, bug, or any unauthorized intervention, whether or not caused by any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity(ies), equipment failure, including overloading of the TSP or ISP website due to excessive use, threatened terrorist act(s), terrorist act(s), air raid(s), blackout(s), act(s) of public enemy, earthquake(s), war(s) (declared or undeclared), fire(s), flood(s), epidemic(s), explosion(s), unusually severe weather, hurricane(s), embargo(s), labor dispute(s) or strike(s) (whether legal or illegal), labor or material shortage(s), transportation interruption(s) of any kind, work slowdown(s), civil disturbance(s), insurrection(s), riot(s), or any other similar or dissimilar cause(s), (iv) injury or damage to persons or property caused, directly or indirectly, in whole or in part from any Participant's participation in the Sweepstakes or by wireless and/or computer virus or otherwise resulting to any wireless instrument or computer from Participant's access to the Sweepstakes via TSP or ISP website or entry into the Sweepstakes, or (v) other errors or problems of any kind, whether computer, technical, network, printing, typographical, human, or otherwise including without limitation any errors or problems which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the Winner, or in these Official Rules or other Sweepstakes-related materials, Sweepstakes Entities reserve the right at their sole discretion to cancel, terminate, modify, or suspend the Sweepstakes. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, Sweepstakes Entities may, in their sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Sweepstakes and at Sweepstakes Entities' sole discretion, award Prizes in a random drawing from among the nonsuspect, eligible entries received up to the time of the impairment.

Sweepstakes Entities reserve the right, and may prohibit at their sole discretion, to disqualify a Participant from the Sweepstakes or winning a Prize if, in their sole discretion, they determine that such Participant is acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner or attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices, or intending to annoy, abuse, threaten, or harass any other Participants or Sweepstakes Entities' representatives.

Participant (and his/her Parent or legal guardian) further agrees that in any cause of action, the Released Parties' liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorneys' fees and/or experts' fees and costs. Participants waive their right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SWEEPSTAKES ENTITIES RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY'S FEES) FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

USE OF INFORMATION:By entering the Sweepstakes, Participant (and his/her Parent or legal guardian) agrees that their entry and any other personally identifiable information collected or used in connection with the Sweepstakes may be used by the Sweepstakes Entities.
