BY PARTICIPATING IN THE HALO EFFECT AWARDS (“INDIVIDUALLY AND PLURALLY, THE “AWARDS”), ALL PARTICIPANTS (NOMINATORS AND NOMINEES) AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND THE DECISIONS OF SPONSOR AND THE JUDGES, WHICH ARE FINAL AND BINDING IN ALL RESPECTS.

  1. Eligibility: The Halo Effect Awards are open only to legal residents of the fifty (50) United States and the District of Columbia who are fourteen (14) years or age or older at the time of entry. Employees, officers, and directors of Viacom Media Networks, a division of Viacom International, Inc. (“Sponsor”) and its respective parents, affiliates, subsidiaries, related companies, representatives, agents, suppliers, those engaged in the development or production of the Awards, as well as the immediate family (spouse, parents, siblings, and children) and household members (whether related or not) of each such employee, officer, and director, and individuals who have won a grand prize in any Sponsor-related sweepstakes/promotion or award in the twelve (12) months prior to the start of the Awards are not eligible to participate.
  2. Sponsor: Viacom International, Inc., 1515 Broadway, New York, NY 10036.
  3. Agreement to Terms and Conditions: PParticipation in the Awards constitutes full and unconditional agreement to these Terms and Conditions and Sponsor’s decisions, which are final and binding in all matters related to the Awards. The receipt of any award is contingent upon fulfilling all requirements set forth herein.
  4. Timing: The Halo Effect Awards program begins on December 1, 2014 at 12:00 a.m. Eastern Time ("ET"), ends on October 31, 2015 at 11:59 p.m. ET (the "Awards Period") and consists of two (2) phases, as set forth in the chart below.

  5. How to Enter: During the Submission Phase, you may enter by filling out the Awards submission form on Sponsor’s website at: http://www.teennick.com/shows/halo-awards/nomination/. Simply follow the instructions to complete the Awards submission form and nominate one (1) person between the ages of fourteen (14) and twenty-three (23) (herein, the "Nominee") by providing a valid email address, phone number, and date of birth for both you and your Nominee. Then, provide us with a short description (five hundred (500) characters or fewer) of why the Nominee deserves to be recognized for his or her community service work. Herein, your nomination and short description will be referred to as your submission ("Submission"), and you will be referred to as the nominator ("Nominator"). After you have submitted your Submission, the Nominee may be notified via a phone call or an email requesting acceptance of your nomination. Your Submission will not be considered approved and will not be included in the Awards program until the Nominee accepts the nomination. To accept the nomination, the Nominee must respond to the Sponsor's telephone call or email and accept the nomination before the Submission Phase ends. Nominator and/or Nominee may be asked to provide information or documentation sufficient for Sponsor to confirm identity and/or eligibility, and/or may be asked to submit to a background check (at Sponsor’s sole discretion) or provide parental consent for their consideration and/or participation in the Awards. Nominator and/or Nominee may opt out of the Awards program at any time.
    y uploading your Submission, you agree that your Submission conforms to the Guidelines and Content Restrictions provided below (collectively, the “Guidelines and Restrictions”). Sponsor, in its sole discretion, may remove or reject your Submission and disqualify you from the Awards if it believes that your Submission fails to conform to the Guidelines and Restrictions.

    By participating in the Awards, each Nominator warrants and represents that his/her Submission is original, has not been previously published or won any award, does not contain any material that would defame or otherwise violate or infringe upon the rights of any third party, including patents, copyrights, trademarks or rights of privacy or publicity, and will not violate any federal, state or local laws or ordinances. Nominator further warrants and represents that he/she has secured the requisite consent from any third party referenced in the Submission. Sponsor reserves the right in its sole and unfettered discretion to disqualify any Submission that it believes contains obscene, offensive or inappropriate content, that does not comply with these Terms and Conditions or that is not consistent with the spirit or theme of the Awards. All Submissions become the property of Sponsor when submitted and will not be acknowledged or returned to the relevant Nominator.

    Limit: Each Nominator may upload more than one (1) Awards Submission during the Submission Phase but may only upload one (1) Awards Submission for each Nominee. Once submitted, unless the Nominator requests that Submission be withdrawn, an Awards Submission will be retained by Sponsor and may be considered again for future Awards. Submissions received from any person or email address in excess of the stated limit will be void. Submissions generated by script, macro or other automated means are void. Uploading a Submission constitutes Nominator’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If requested, Nominator will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights Nominator is granting to use the Submission. Released Parties (as defined in Section 10, below) are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, delayed or misdirected Submissions; all of which will be void.

    Normal Internet access, phone, and usage charges imposed by your online or phone service may apply. In the event of a dispute as to any Submission, the authorized account holder of the email address used to register will be deemed to be the Nominator and must comply with these Terms and Conditions. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each Nominator may be required to show proof of being an authorized account holder.

  6. Award Determination: For any month during the 2014 calendar year, one (1) Nominee may be selected to receive the award and such selection will be determined according to the process set forth below.
    1. Judging Phase: During the Judging Phase (defined above), Submissions will be screened and considered by a committee of Sponsor’s employees (selected by Sponsor in its sole discretion) (the “Committee”). No more than four (4) Submissions will be selected by the Committee (the “Finalist Submissions”) for any given month. The Finalist Submissions will be presented to one or more judges (the “Judge(s),” to be selected by Sponsor in its sole discretion) who may select one (1) Nominee to receive the award (the “Honoree”). The Judge(s) will judge all eligible Submissions based on the following criteria (“Judging Criteria”):
      • Nominee’s inspiration to serve;
      • Impact of Nominee’s service on others; and,
      • Benefits of additional resources on Nominee’s service.
      Sponsor reserves the right to select fewer than four (4) Finalist Submissions for any given month, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions. Sponsor also reserves the right to contact the Nominees in connection with the Finalist Submissions and to retain any information collected with their consent for future use in any similar Awards.
    2. Sponsor Selection: Notwithstanding anything contained herein, Sponsor expressly reserves the right to identify and select other nominees which may, from time to time, be discovered by Sponsor through its own efforts and/or identified by nonprofit or charitable organizations.
  7. Honoree Requirements: The potential Honoree will be notified by phone and/or email. If the potential Honoree does not comply with these Terms and Conditions and respond to such notification within three (3) days, the potential Honoree will be disqualified and removed from consideration. Except where prohibited, upon selection as a potential Honoree, the potential Honoree (or his/her parent or legal guardian) will be required to complete and return a Publicity Release and Assignment of Intellectual Property Rights, and any tax forms or other documents Sponsor requires, within three (3) days of being notified. As deemed appropriate by Sponsor in its sole discretion, the potential Honoree may also be required to pass a background check, if not previously conducted. Sponsor reserves the right, in its sole discretion, to choose alternate potential Honorees if information contained in the Submission cannot be verified to the satisfaction of Sponsor or if potential Honoree fails to return any required documentation. If a potential Honoree is disqualified for any reason, the award may, in Sponsor’s sole discretion, be awarded to an alternate, if any, selected in accordance with the Judging Criteria described above within seven (7) days of the date the potential Honoree is determined to be ineligible in Sponsor’s sole discretion. Only three (3) alternates may be determined through this process, after which the award will remain un-awarded. Selection as an Honoree is contingent upon fulfilling all requirements set forth herein. EACH POTENTIAL HONOREE IS SUBJECT TO VERIFICATION BY SPONSOR AND WILL NOT RECEIVE THE AWARD UNLESS AND UNTIL POTENTIAL HONOREE'S ELIGIBILITY HAS BEEN VERIFIED AND POTENTIAL HONOREE HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. Awards will be fulfilled 8 – 10 weeks after the potential Honoree has been offered and has formally accepted the award.
  8. Award: THERE WILL BE ONE (1) AWARD OF A $5,000 CHECK for any given month during the 2014 Calendar Year for which an Honoree has been selected from the Submission, to be awarded to the community or charitable organization of the Honoree’s choice. Approximate Retail Value (“ARV”) of Award: $5,000.

    Restrictions: Check will be awarded directly to Honoree’s chosen Charity. Charity selected by Honoree must be a nonprofit, 501(c)(3) organization and must have a mission that aligns with Sponsor’s corporate philanthropic goals. Sponsor’s corporate philanthropic goals include, but are not limited to, supporting organizations whose work focuses on the following: (i) provision of basic human needs such as food, clothing and shelter; (ii) children, family and youth initiatives; (iii) promotion of education, particularly efforts benefitting an entire school; (iv) women’s initiatives such as domestic-violence prevention efforts and women’s health initiatives; and (v) environmental stewardship. In the event that the Honoree’s selected charity does not further Sponsor’s corporate philanthropic goals in broadly supporting community efforts, Sponsor reserves the right, at its sole discretion, to reject Honoree’s selected charity or request that an Honoree select an alternative charity. Award is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute award with one of equal or greater value if the designated award should become unavailable for any reason. Honorees are responsible for all taxes and fees associated with award receipt and/or use.

  9. General Conditions: Sponsor reserves the right in its sole discretion to cancel, suspend and/or modify the Awards program, or any part of it, if any fraud, technical failures, human error or any other factor impairs the proper functioning or integrity or of the Awards, as determined by Sponsor in its sole discretion. If terminated Sponsor may, in its sole discretion, determine the Honoree from among all non-suspect, eligible Submissions received up to time of such action using the judging procedure outlined above. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the Submission process or the operation of the Awards or to be acting in violation of the Terms and Conditions of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Submissions. Any attempt by any person to deliberately undermine the legitimate operation of the Awards may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision.
  10. Release and Limitations of Liability: BY PARTICIPATING IN THE AWARDS, NOMINATORS AND NOMINEES AGREE THAT SPONSOR, AND ITS PARENT, SUBSIDIARIES, AFFILIATES, SUPPLIERS, AGENTS, REPRESENTATIVES, DISTRIBUTORS, ADVERTISING, PROMOTIONAL, AND PUBLIC RELATIONS AGENCIES, LEGAL COUNSEL, AND AWARD SUPPLIERS, AND EACH OF THEIR RESPECTIVE PARENT COMPANIES AND EACH SUCH COMPANY’S OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”), WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY NOMINATORS AND/OR NOMINEES AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE AWARDS, SUBMISSION, OR PARTICIPATION IN THE AWARDS OR IN ANY AWARDS-RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY AWARD CANNOT BE AWARDED DUE TO DELAYS, OR INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, OR TERRORISM. BY PARTICIPATING IN THE AWARDS, NOMINATORS AND NOMINEES AGREE THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY INTERNET SITES ASSOCIATED WITH THE AWARDS OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITES.

    WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THE AWARDS, INCLUDING ANY INTERNET SITE ASSOCIATED WITH THE AWARDS AND ALL HONOREE AWARDS, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

    Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Nominator and/or Nominee, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Awards; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Awards; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Awards, the uploading, the processing or judging of Submissions, the announcement of the awards or in any Awards-related materials; (5) late, lost, undeliverable, misdirected, damaged or stolen mail, or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third party use of any Submission.

  11. Publicity and Intellectual Property Releases: EXCEPT WHERE PROHIBITED BY LAW, PARTICIPATION IN THE AWARDS CONSTITUTES EACH NOMINATOR’S AND/OR HONOREE’S GRANT TO SPONSOR (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSOR) AND THOSE ACTING PURSUANT TO ITS AUTHORITY THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, THE NOMINATOR’S AND/OR HONOREE’S, NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, OPINIONS AND BIOGRAPHICAL INFORMATION (INCLUDING BUT NOT LIMITED TO HOMETOWN AND STATE) FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON TELEVISION OR RADIO BROADCAST) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.

    BY SENDING A SUBMISSION, EACH NOMINATOR AND/OR NOMINEE AGREES THAT SUCH SUBMISSION, AND ALL COMMUNICATIONS, CREATIVE SUGGESTIONS, IDEAS, NOTES, CONCEPTS OR OTHER MATERIALS SUBMITTED TO SPONSOR IN CONNECTION WITH THE AWARDS, INCLUDING ALL RIGHTS EMBODIED THEREIN ARE DEEMED TO BE NON-CONFIDENTIAL, NON-PROPRIETARY AND SPONSOR SHALL HAVE NO OBLIGATION OF ANY KIND WITH RESPECT TO SUCH SUBMISSIONS. SPONSOR SHALL BE FREE TO EDIT, EXPLOIT, MODIFY, PUBLISH, REPRODUCE, USE, DISCLOSE, DISSEMINATE AND DISTRIBUTE THE SUBMISSIONS TO OTHERS WITHOUT LIMITATION IN ANY AND ALL MEDIA NOW KNOWN OR NOT CURRENTLY KNOWN, THROUGHOUT THE WORLD IN PERPETUITY FOR ANY PURPOSE WITHOUT COMPENSATION, PERMISSION OR NOTIFICATION TO NOMINATOR AND/OR NOMINEE OR ANY THIRD-PARTY. NOMINATOR AND/OR NOMINEE HEREBY GRANTS SPONSOR A ROYALTY FREE, IRREVOCABLE, AND WORLD WIDE, IN PERPETUITY LICENSE TO USE THE SUBMISSION IN ANY FORM OR FORMAT AND TO MODIFY THE SAME, AND ACKNOWLEDGES AND AGREES THAT IF SPONSOR DOES USE THE SUBMISSION NOMINATOR AND/OR NOMINEE SHALL NOT BE ENTITLED TO ANY CREDIT, CONSIDERATION, NOTICE OR PAYMENTS OF ANY KIND. NOMINATOR AND/OR NOMINEE WAIVE ANY MORAL RIGHTS HE OR SHE MAY HAVE TO THE SUBMISSION, AND AGREES THAT IF SPONSOR ELECTS TO USE SUBMISSION FOR ANY PURPOSE, ALL RIGHTS UNDER COPYRIGHT OR OTHER INTELLECTUAL PROPERTY RIGHTS WHICH MAY RESULT FROM THAT RELATING TO NOMINATOR’S AND/OR NOMINEE’S SUBMISSION OR FROM USE OF THE SAME BY SPONSOR SHALL BE THE SOLE PROPERTY OF SPONSOR. NOMINATOR AND/OR NOMINEE FURTHER AGREES THAT IF SPONSOR ELECTS TO USE NOMINATOR’S AND/OR NOMINEE’S SUBMISSION, NOMINATOR AND/OR NOMINEE WILL EXECUTE ANY DOCUMENTS REQUESTED BY SPONSOR REGARDING THIS ASSIGNMENT. IF ANY USE BY SPONSOR OF THE SUBMISSION CAUSES IT TO BE LIABLE TO ANY THIRD-PARTY, NOMINATOR AND/OR NOMINEE AGREES TO INDEMNIFY SPONSOR AND ITS AGENTS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVE AND ALL RELATED PARTIES FROM AND AGAINST ANY AND ALL DAMAGES, COSTS, JUDGMENTS AND EXPENSES (INCLUDING REASONABLE ATTORNEY FEES) WHICH IT INCURS AS A RESULT OF ITS USE OF THE SUBMISSION.

  12. Nature of Relationship/Waiver of Equitable Relief: Each Nominator and/or Nominee understands and acknowledges that Sponsor has wide access to ideas, designs, and other materials, and that new ideas are constantly being submitted to it or being developed by their own employees. Each Nominator and/or Nominee also acknowledges that many ideas may be competitive with, similar or identical to the Submissions of others in theme, idea, format or other respects. Each Nominator and/or Nominee acknowledges and agrees that they will not be entitled to any compensation as a result of Sponsor's use of any such similar or identical material. Each Nominator and/or Nominee acknowledges and agrees that the Sponsor does not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the copyright in and to the Submissions. Finally, each Nominator and/or Nominee acknowledges that, with respect to any claim by them relating to or arising out of Sponsor actual or alleged exploitation or use of any Submissions or other material submitted in connection with the Awards, the damage, if any, thereby caused to the applicable Nominator and/or Nominee will not be irreparable or otherwise sufficient to entitle such Nominator and/or Nominee to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of the Submissions or any material based on or allegedly based on the Submissions, and the Nominator’s and/or Nominee’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
  13. Disputes: Except where prohibited, Nominator and/or Nominee agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with the Awards or any award awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Southern District of New York or the appropriate Supreme Court of the State of New York located in New York County; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Awards, but in no event attorneys’ fees; and (3) under no circumstances will Nominator and/or Nominee be permitted to obtain awards for, and they hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of the Nominator and/or Nominee and Sponsor in connection with the Awards, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
  14. Personal Information: Information collected from the Nominator and/or Nominee is subject to Sponsor’s Privacy Policy, which is available at http://www.teennick.com/info/privacy-policy.html.
  15. Honoree List: For the name of the Honoree, visit http://www.teennick.com/shows/halo-awards. The Honoree will be posted after Honoree confirmation is complete.
